Our strengths are primarily advising and conceptualizing M&A structures (internal group restructuring and transaction structuring, holding structures, succession planning and other promoter handholding matters from a commercial, tax and regulatory perspective. We also render advice on specialized tax issues (domestic and international) and regulatory issues pertaining to the Takeover Code, inbound/FDI or outbound investments and other SEBI or RBI-related regulations including assistance in obtaining any SEBI/RBI approvals.
The team is led by Ketan Dalal, who as a rich professional experience of 45 years, and is a veteran in cross border tax issues and investment structuring, including Mergers and Acquisitions.
In 1997, along with 3 other professionals, he founded RSM & Co, which went on to become one of India’s most successful tax practices. RSM subsequently merged into PwC in April, 2007, and Ketan went on to lead PwC in various roles including as All-India Joint Tax Head, Managing Partner (West) and as a member of PwC India Leadership Team.
He presently serves as an Independent Director on the boards of Siemens Energy India Limited, HDFC Life Insurance Limited, Zensar Technologies Limited, Torrent Power Limited and Eternis Fine Chemicals Limited. He has been a member of the Managing Committee and Direct Tax Committee of IMC. He has also been a member of several SEBI committees, such as SEBI High Powered Advisory Committee (HPAC) on Consent orders and Compounding and has significant experience on FEMA matters. International Tax Review has named him as one of India’s leading tax advisors.
Binoy Parikh has been a part of the Katalyst journey since its inception in April 2017. Prior to joining Katalyst Advisors, he was a part of the M&A team at PwC and KPMG in Mumbai.
He has significant experience in corporate restructurings, deal structuring from a commercial, tax, regulatory and accounting perspective, acquisition and divestment structuring, succession planning, family arrangements/ family constitution, specific SEBI/ RBI matters, etc. He has authored several articles in relation to M&A field, has rendered several seminars and has co-authored Impact of GAAR on Holding Structures published in Compendium of GAAR published by BCAS. He presently serves as an Independent Director on the boards of Manipal Payments and Identity Solutions Limited, Sarda Energy & Minerals Limited and Batliboi Limited.
Deep Chandan has been a part of the Katalyst journey since its inception in April 2017. Prior to joining Katalyst, he worked with EY and Grant Thornton in Mumbai.
He has extensive experience in advising clients on M&A matters involving complex commercial, regulatory, tax and accounting dimensions. He has advised clients on strategic as well as private equity transactions (acquisition / divestment structuring), corporate / group restructuring, succession planning, family settlements and various other corporate matters.
